Annual General Meeting 2014

This years' agenda includes transition to not-for-profit corporation

The annual general meeting of Biathlon Ontario will take place on Sunday morning, May 25, 2014, at Highlands Nordic, Duntroon, ON.

A key item on this year's AGM agenda will be a special resolution to transition Biathlon Ontario into a not-for-profit corporation and approve its general operating bylaw.

As part of the transition, the current Board of Directors will be dissolved and a new Board elected to the following positions (see proposed Organization Chart):

  • President
  • Vice-President of Administration
  • Vice-President of Finance
  • Vice-President of Corporate Services
  • Vice-President of Technical
  • Two Directors-at-Large

In a notice distributed to members on April 23rd, Daniel Guay, current Vice-President for Administration and Treasurer, explained: "With the exception of the two Directors-at-large, the elected board members will also become corporate officers and hold their respective office for the duration of their elected term. The terms of reference for each of the elected positions are outlined in Section 8 (page 16) of the new bylaw."

Echoing a letter from the President of BiOn, Mike Scholte, Daniel encouraged members to read what these positions entail, and consider putting their names forward.

More routinely, members will also approve the minutes of the 2013 AGM, and the financial statements. Daniel also distributed a summary of decisions made by the Board over the past year.

Membership must be current to vote at the AGM. Memberships are renewed on the Zone4 portal. Any member who is unable to attend may delegate another current member as a proxy.
